What a Form D is, and is not

A notice, not a prospectus

Form D is a short notice that a company is selling securities under an exemption from registration. It records how much was offered and sold, how many investors, and who the related persons are. It does not contain a business plan, a valuation, or a use of proceeds.

So this page can tell you the size of the raise. It cannot tell you what the money bought.
